Overview

The Board of Directors is comprised of representatives of the ANSI membership and is responsible for governance oversight of the issues, properties, and affairs of the Institute. The Board typically meets twice a year in the Washington, DC, area.

Responsibilities include:

  • Approving ANSI's annual strategic priorities document.
  • Approving the annual budget.
  • Approving changes to the membership fee structure.
  • Approving appointments to Board Committees.
  • Approving a decision to employ or discontinue the employment of the ANSI President.
  • Electing the Board Officers and filling vacancies on the Board.
  • Approving the scope of responsibilities of the Board Committees, Committees of ANSI, Membership Forums and Policy Advisory Groups.
  • Receiving and approving, where required, reports from the Executive Committee.
  • Deciding issues and approving policies that would significantly change or affect the strategic direction of ANSI or the voluntary standards federation.

Board Members

The Board of Directors is comprised of up to 51 members from diverse areas of ANSI. The Board is structured to ensure broad overall diversity of representatives from across the ANSI membership. The Board’s membership includes up to 33 Directors-at-Large and a number of ex-officio members, including the following:

Board members are fiduciaries of ANSI – meaning they must act in the interest of the Institute when serving in this capacity – and are therefore subject to ANSI’s Conflict of Interest Policy and Disclosure Form. Board members must also abide by ANSI's Conflict of Interest and Related Party Transaction Policy, as well as the ANSI Code of Conduct.

Nominations

ANSI members are invited, annually, to nominate a candidate from their organization to serve on the ANSI Board of Directors. Candidates should be able to attend meetings, participate actively, and make an effective contribution to the work of the Board. Candidates will be referred to the Board Nominating Committee; upon nomination by the Board Nominating Committee, Board candidates are balloted for election by vote of the ANSI membership.

Terms are staggered so that no more than 11 positions expire at the end of any given calendar year; each Board member may serve a maximum of 2 consecutive 3-year terms.
