ANSI Opens 30-Day Comment Period on Proposed Revisions to Institute Constitution and By-Laws

The American National Standards Institute (ANSI), in accordance with Section 10.01.1 of the current edition of the ANSI Constitution and By-Laws, is seeking feedback from its membership on proposed amendments. All responses must be received by Tuesday, July 8, 2014, the end of the 30-day comment period. The Institute strongly encourages all members to review the proposed changes and submit any relevant comments.

The proposed changes to the ANSI Constitution and By-Laws are intended to ensure that the Institute's by-laws comply with requirements in the New York Non-Profit Revitalization Act of 2013, to align the by-laws with current practice and to update membership voting provisions to allow voting by proxy. Other changes include edits to ensure gender-neutrality, new rules to increase transparency regarding related party transactions and to improve reporting of conflicts of interest involving ANSI's Board of Directors and officers.

The revised ANSI Constitution and By-Laws can be viewed online with the changes marked, or in a clean version.

To respond, members must complete a revision feedback form and email it by close of business on July 8 to Tricia Power, ANSI manager of corporate governance and legal affairs, at [email protected]. If members have comments, they should identify the reasons behind each comment and specify the section numbers relevant to their feedback.
